These terms and conditions apply to the sale of our online sessions and services. Please read these terms and conditions carefully before purchasing online courses and products. If you do not agree to all of these Terms, you are prohibited from using the Site and Services and must stop using them. We encourage you to print a copy of these Terms and Conditions.
Definitions "Confidential Information"
- means information provided by one party to the other party in deeds, graphic, machine-recorded or other form relating specifically to the other party's business, clients, suppliers, finances and other areas of the other party's business or products, including, without limitation, course materials, but does not include information disclosed in the public domain , information required to be disclosed by any court or regulatory authority, or any information already in the possession of, or in the possession of, the party who disclosed it. "Fees" - means the fees you pay to "talktowillow" for the Services.
"Intellectual Property Rights"
- means copyrights, database rights, patent rights, performers' rights, designs and registered designs, trademarks, rights relating to confidential information and other intellectual property rights (whether registered or unregistered) worldwide..
"Services" - means the delivery of the online sessions, products, group and private sessions together with other services agreed to and purchased by you through the Website.
"Taught Course" - means a course that provides us with energy and mind setting, life coach, spiritual courses and meditations. "Website" - means https://www.talktowillow.com "you" means the individual purchasing the Service.
Services
2.1 " talktowillow" provides an online coaching platform through the wix website where we offer services for private sessions, energy work, mind setting and guided meditations. The service will provide appropriate care and skills in accordance with the description set out on the website
2.2 We reserve the right to change or cancel any of the Services described on the Website without notice.
2.3 We expect you to confirm that the Services you are purchasing will meet your needs. We do not guarantee that you will get a particular result from your purchase and completion of any of the Services.
2.4 We may update and improve the Services we provide from time to time without notice. If we change the Service in a way that materially alters the content, we will notify you in writing via the email address associated with your account.
Ordering Services
3.1 When you place an order for a Service through the Website, you are purchasing the Service on the terms and conditions set out herein. "talktowillow" reserves the right to cancel or refuse your order or any part of your order at any time until such time as the event referred to in clause
3.2 has occurred.
3.3Upon receipt of your order for the Services via the Website, we will contact you to confirm receipt of your order.
3.4 A legally binding agreement between us and you occurs when we have: (a) accepted your offer to purchase the Services, and you receive an email from us confirming your purchase; a (b) received payment from you in accordance with clause
3.5 below.
3.6 If your order consists of multiple online sessions, we will treat each individual course as a separate purchase.
Cancellation and refund
4.1 If you have purchased an online session and you have already accessed then you do not have the right to cancel your order and therefore no refund will be given.
4.2 cancellation 3 days before the start of session - full refund
4.3 Cancellation 2 days before the start of the session - 50% of the paid part refunded
4.4 Cancellation less than 24hrs before the session - 0 CZK refunded - you can send a substitute for yourself Fees
FEES
5.1 The fees for the Services are set out and are current on the Website at the time you place your order.
5.2 Unless otherwise stated at the time you purchase the Services, the Fees are exclusive of VAT or other local taxes, the cost of certain sessions and any delivery charges payable in connection with the delivery of the Course Materials/Products. All such costs will be stated on the website prior to the purchase of services.
5.3 The price for the service you have selected on the Website can be paid via PayPal and Stripe at the time of purchase. Fees must be paid in full before you can attend any sessions .
5.4 Any fees charged by your debit or credit card provider through PayPal and Stripe in connection with the purchase of the Services are for your own account and "talktowillow" is not responsible for them.
5.5 You will be responsible for all costs incurred by You in connection with Your attendance at any meetings
Responsibility
6.1 No part of the Services provided shall be deemed to be, or should be construed as, the provision of investment advice.
6.2 Whilst "talktowillow" aims to provide the Services to the highest industry standards, neither it nor its trainers accept any liability for (i) any inaccuracy or misleading information provided in the sessions and any reliance by the Client on such information, (ii) any loss or corruption of data, (iii) any loss of profit, revenue or goodwill or (iv) any indirect, special or consequential loss arising out of any breach of the terms of this Agreement.
6.3 Except as expressly set out in these Terms, the Services are not subject to any conditions, warranties or other terms. Subject to clause 6.5, no implied conditions, warranties or other terms (including any implied terms as to satisfactory quality, fitness for purpose or compliance with the description) shall apply.
6.4 Subject to clause 6.5 below, the total liability of "talktowillow" arising out of or in connection with these terms and conditions and in relation to anything we may or may not have done in connection with these terms and conditions and the supply of the Service (and whether liability arises by reason of breach of contract, negligence or any other cause) shall be limited to the fees received by us in connection with the relevant sessions in respect of which the dispute arose.
6.5. We do not warrant or guarantee that our Site or any other aspect of our Services is suitable for your intended use, error-free, timely, reliable, completely secure, virus-free or available. We do not guarantee any particular results or outcomes from using our site or any other aspect of our online courses/coaching services.
6.6 Nothing in this Agreement excludes or limits the liability of "talktowillow" for (i) death or personal injury caused by its negligence, (ii) fraudulent misrepresentation or (iii) any other matter which under English law may not be limited or excluded.
6.7 talktowillow shall not be liable for any performance or service issues caused by any third party service providers or such service providers as WIX, payment services, software and any updates or upgrades to the Service. ANY SUCH PROBLEM SHALL BE GOVERNED SOLELY BY THE AGREEMENT BETWEEN YOU AND THE THIRD PARTY SERVICE PROVIDER.
Intellectual Property
7.1 You are not entitled to:
(i) record on video or audio tape, transmit by video-phone or other means an online course; or
(ii) use the Course Materials in the delivery of any other course or training, whether provided by us or any third party trainer;
(iii) remove any copyright al
Confidentiality
8.1 Each party shall keep the other party's Confidential Information strictly confidential and shall not use it other than for the purposes of these Terms and shall return it on request and shall likewise not retain copies of it.
8.2 Either party may disclose Confidential Information to its legal and other advisers for the purpose of obtaining advice from them.
8.3 This provision shall continue notwithstanding the termination of these terms and conditions and the contractual relationship entered into in accordance with them.
Termination of the relationship
9.1 We shall be entitled to terminate these Terms and the contract entered into pursuant to them and cease to provide any Services to you with immediate effect in the event that: You fail to pay Your Fees; you act in an aggressive, bullying, abusive, threatening or harassing manner towards any employee of "talktowillow" you breach these terms and conditions.
9.2 In respect of the provisions of clauses 6 (liability), 7 (intellectual property rights), 8 (confidentiality) and 10 (limitations) these shall continue notwithstanding such termination.
Assignment
Any services we provide under these terms and conditions are personal to you and may not be transferred or assigned to any other person. We are entitled to assign these terms and conditions to any other company without notice.
Entire Agreement
These Terms and Conditions, together with the disclaimer on the Website Terms and Conditions, shall be deemed to be the contract between the parties and supersede any prior agreements and understandings, whether written or oral. You confirm that you have not relied on any representations in entering into these and any other terms and conditions with us. Nothing in this clause or the Terms limits liability for any fraudulent misrepresentation.
Force Majeure "talktowillow" shall not be liable to you for any breach of its obligations or termination of the contractual relationship under these terms and conditions arising from causes beyond its reasonable control, including, but not limited to, fires, floods, earthquakes, volcanoes and other acts of God, terrorism, strikes, delays caused by traffic disputes, failure to deliver the course caused by a death in the trainer's family, illness of the trainer, government edict or regulation.
Assignment
At our discretion, we may assign, transfer, subcontract any of our rights or obligations to any third party.
Data Protection
14.1 The nature of the services we provide means that we will obtain, use and disclose (collectively "Use") certain information about you ("Data"). This statement sets out the principles governing our use of the Data. By purchasing the Services, you consent to this Use.
14.2 When you register with us, you will be required to provide certain information, such as your contact details and demographic information. We will store and use this data to contact you, provide you with details of the Services you have purchased and otherwise as required to deliver the Course.
14.3 In order to monitor and improve our services, we collect certain aggregate information about you, including details of your operating system, browser version, domain name and IP address, the URL from which you came to our website and the parts of our website that you visit.
14.4 We will only read cookies from your cookie that you have placed there through your web browser's interaction with the website.
14.5 talktowillow endeavors to take all reasonable steps to protect your Personal Data, including the use of encryption technology, but cannot guarantee the security of any data you disclose. You accept the inherent security implications of being and doing business online over the internet and will not hold us responsible for any breach of security.
14.6 talktowillow may supplement the information you provide with information we receive from third parties.
Right and authority
The Agreement and any dispute or claim arising out of it shall be construed in accordance with the laws of EU and shall be subject to the exclusive jurisdiction of the courts of EU Countries
Indemnity You agree to defend, indemnify and hold us harmless from and against any and all claims, causes of action, demands, recoveries, losses, damages, fines, penalties or other costs or expenses of any kind or nature whatsoever, including, but not limited to, reasonable legal and accounting fees, arising out of or relating to your use or misuse of or access to the Services and related to your breach of our Terms.
